Terms of Service

The agreement between Kasa and the sellers who use it to run their shop. It is written to be read, so please read it.

1.Who this agreement is between

These terms are the agreement between you, the person or business opening a Kasa account, and us:

In this document we, us and Kasa mean the company above. You and your shop mean the account holder and the workspace they run on Kasa.

By creating an account, or by continuing to use Kasa after we publish a change to these terms, you accept them. If you are opening the account for a business, you confirm that you are allowed to accept these terms on that business's behalf.

These terms work together with our Privacy Policy, our Acceptable Use Policy and, for the buyer data we handle for you, our Data Processing Agreement. Together they form one agreement.

2.Words used in these terms

The service
The Kasa software: the assistant that replies to your customers on WhatsApp and the other channels you connect, the dashboard, the WhatsApp control commands, and everything we provide alongside them.
A buyer
Anyone who messages your shop. Your customer, not ours. We never contact your buyers on our own account.
The assistant
The part of the service that drafts replies to buyers using an artificial intelligence model, inside the limits you set.
Your floor price
The lowest price you are willing to accept for an item. You set it and the server enforces it. The assistant is never told it may go below it.
Your content
Everything you put into Kasa or that arrives through it for you: your product list, prices, photos, shop details, buyer conversations and orders.
A plan
The subscription tier you chose, which decides which features are switched on and what you pay each period.

3.Opening and holding an account

You must be at least 18 years old and able to enter into a contract under Ghanaian law. The details you give us when you sign up, including your name, email address and shop details, must be true and kept up to date.

One person holds each account as its owner. The owner can invite staff, and staff have narrower access: they cannot see or change your mobile money details, your billing, your floor prices, or any request about personal data. Everything done from your account, by you or by anyone you invite, is treated as done by you.

Keep your password to yourself, and turn on the second step of sign in before you switch on payments. We will never ask you for your password, your one time code or your recovery codes. If you think someone else has reached your account, tell us at once at support@kasarm.com and change your password.

4.What Kasa does

Kasa is software that helps you sell. When a buyer messages the number you have connected, Kasa answers on your behalf using the products, prices and rules you have set. It can send photos of your items, read a screenshot a buyer sends, listen to a voice note, agree a price within the limits you set, record the order, show the buyer your mobile money details, and keep the record of what was agreed.

You stay in control throughout. You can read every conversation, take over any chat yourself, pause the assistant, change a price, or close an order by hand. Where you reply from your own WhatsApp Business app, Kasa steps back and records that the reply came from you.

5.What Kasa is not

This section matters more than most, because it decides who a buyer deals with when something goes wrong.

  • We are not the seller. The sale is a contract between you and your buyer, governed by the Sale of Goods Act, 1962 (Act 137) and the rest of Ghanaian law. We are not a party to it. We do not own, hold, inspect or deliver anything you sell.
  • We are not a marketplace. Kasa does not list your shop to the public or bring you buyers of its own. Buyers reach you through your own number, your own advertising and your own customers.
  • We do not handle your money. Your buyers pay you directly on your own mobile money number. Payments never pass through us, and we never hold, receive or transmit funds on your behalf. We are not a payment service provider and we are not licensed as one under the Payment Systems and Services Act, 2019 (Act 987). What Kasa records is that you confirmed a payment, not the payment itself.
  • We are not a courier. Delivery, its cost and its timing are between you, your buyer and whoever carries the goods.
  • We do not give legal, tax or financial advice.

6.Your shop is yours to run

Because the sale is yours, so are these:

  • Making sure what you sell is legal, that you hold any licence or permit it needs, and that your descriptions and photos are honest.
  • Setting your prices, your floor prices, your stock levels and your delivery charges, and keeping them current. Everything the assistant quotes comes from what you entered.
  • Answering your buyers where a person is needed, and honouring what your shop agreed with them.
  • Handling returns, refunds, complaints and disputes with your buyers.
  • Your own taxes, levies and business registrations.
  • Following the rules that apply to messaging people, including the messaging policies of WhatsApp and of any other channel you connect, and the Electronic Communications Act, 2008 (Act 775).

If a buyer raises a dispute with us about an order, we will point them back to you, because you are the person they bought from. Where we hold a record that helps settle it, and you or the law asks us for it, we will provide it.

7.How the assistant works, and the limits on it

The assistant drafts what your shop says. It does not decide what your shop charges. This is built into the product rather than promised in a document, and it is the single most important thing to understand about how Kasa handles your money.

The model never sets a price, a stock level, a payment confirmation, your mobile money details or the state of an order. Every one of those is filled in by our server from your own records after the model has written its draft. A model that is asked to sell below your floor cannot do it, because the floor is applied after the words are written, not inside them.

Within those limits the assistant is still software that writes sentences, and it can get a sentence wrong. It may misread a photo, misunderstand a question, or answer something in a way you would have phrased differently. You are responsible for what your shop sends, so read your conversations, and use the pause and take over controls whenever a chat needs you. We give you the tools to watch it and to stop it, and we recommend you use them, especially in your first weeks.

The assistant uses third party artificial intelligence models to draft replies, transcribe voice notes and read images. Your conversations are sent to those providers only to produce the reply your shop needs, and our agreements with them do not permit your content to be used to train their models. The Privacy Policy names each of them.

Some features carry an allowance rather than an unlimited use, and heavy automated use can be paced so that one shop does not slow down others. Where we pace or pause something, we say so in your dashboard.

8.WhatsApp and the other channels

Kasa works on top of channels that other companies run, chiefly WhatsApp which belongs to Meta. When you connect a number you are also agreeing to Meta's terms and its business messaging policy, and those rules apply to your shop directly.

There are things that follow from this and are outside our control. Meta rates the quality of your number and can limit how many people you may message, or stop your sending entirely, if buyers block or report you. Meta can change its pricing, its policies and its interfaces. A channel can go down. Where Meta limits or suspends your number, the assistant cannot send for you until that is resolved, and we will show you what Meta has told us.

Message only people who have contacted you or who have agreed to hear from you. Sending unsolicited bulk messages is the fastest way to lose a number, it breaks the channel's rules, and it breaks ours as well.

9.Payments from your buyers

Kasa shows your buyer the mobile money details you gave us and records what happened next. The money moves from your buyer to you, on your own number, through your own mobile money provider, under that provider's terms.

Because those details decide where your money lands, changing them is deliberately slower than changing anything else. A change is checked before it goes live, your buyers keep seeing your existing number until it is approved, and every change is written to a record we keep. If someone reaches your account, this is the control that stands between them and your income, so treat a message about a mobile money change as serious.

You confirm each payment yourself. Kasa never marks a payment as received on its own, and a buyer telling the assistant that they have paid does not confirm anything. Check your own mobile money balance before you release goods.

10.Plans, the free trial and what you pay us

The trial

Every shop starts with 30 days free. No card, no mobile money details and no payment are needed to start, and we do not charge you anything during the trial.

The plans

Prices are in Ghana cedis. Start is GHS 120 a month, Grow is GHS 350 a month and Close is GHS 850 a month. Paid yearly, each plan costs ten months for twelve. What each plan includes is shown on our pricing page and in your dashboard before you choose.

Grow includes 800 assistant conversations in a monthly period and Close includes 2,000. Beyond that we charge GHS 0.40 for each further conversation on Grow and GHS 0.35 on Close, and you can see the count in your dashboard as it rises. A yearly plan carries twelve times the monthly allowance for the year. Start has no assistant conversations and is never metered.

Paying

When your trial ends we issue an invoice for your first paid period. You pay by mobile money. A period runs 30 days for a monthly plan and 365 days for a yearly one, and each period is invoiced when it begins. Prices are shown in Ghana cedis, and where the law requires us to add value added tax or a statutory levy it appears on your invoice.

If an invoice is not paid when a period ends, your shop keeps working for a further 7 days while we remind you. If it is still unpaid after that, the assistant stops replying to your buyers and your shop drops back to capturing messages only. Nothing is deleted at that point. Your products, chats and orders stay where they are and paying the invoice turns the assistant back on.

Changing plan, and stopping

You can move up a plan at any time and the change takes effect straight away. You can move down or cancel at any time, and the change takes effect at the end of the period you have already paid for. We do not refund part of a period you have started, unless the law requires it or we have got something badly wrong, in which case talk to us and we will put it right.

If we change our prices we will tell you at least 30 days before the change reaches you, and never in the middle of a period you have paid for. If a new price does not suit you, cancel before it takes effect.

11.Using Kasa properly

Our Acceptable Use Policy lists what may not be sold or done through Kasa. It is part of this agreement, and breaking it is a reason for us to suspend or close an account.

In summary: do not use Kasa for anything unlawful, do not send unsolicited bulk messages, do not deceive your buyers, do not pretend to be someone else, do not try to break, probe or work around the security and limits of the service, and do not use it to reach anyone else's data.

12.Your content, our software

Your content stays yours. Your products, your photos, your prices, your conversations and your orders belong to you, and we claim no ownership of them.

You give us permission to host, copy, transmit and process your content for one purpose only, which is running the service for you. That includes sending what is needed to the providers listed in our Privacy Policy, backing your data up, and keeping it safe. We do not sell your content, we do not use it to advertise to your buyers, and we do not use it to train models.

You confirm that you have the right to everything you upload, including product photos, and that it does not infringe anyone else's rights under the Copyright Act, 2005 (Act 690) or otherwise.

The software, the design, the wordmark and everything else that makes up Kasa remain ours. You may use the service, and you may not copy it, resell it, rent it out, take it apart to rebuild it, or remove any notice of ownership from it.

If you send us an idea or a suggestion, we may use it to improve Kasa without owing you anything for it. We mention this only so that a good idea sent in a support thread does not become an argument later.

13.Keeping the service running

We work to keep Kasa available and quick, and we watch it around the clock with automated checks. We cannot promise it will never be unavailable. Software has faults, networks fail, and the channels and providers we build on have outages of their own.

We may take the service down briefly for planned work, and we try to do that when Ghanaian shops are quietest. We may add, change or remove features as the product develops. Where a change removes something you rely on, we will give you reasonable notice.

Support is available by email at support@kasarm.com, from the Help screen in your dashboard, and from WhatsApp by sending support followed by your message. We aim to reply within one business day. Our hours are Monday to Saturday, 8:00 to 18:00 GMT.

14.Suspending or closing an account

We may put a shop on hold, or close it, if:

  • an invoice stays unpaid after the reminder period described above,
  • the account is being used in a way that breaks these terms or our Acceptable Use Policy,
  • we are required to act by law, by a court, or by a regulator,
  • a channel provider such as Meta requires it, or
  • we see activity that puts other sellers, your buyers or the service itself at risk.

Where a hold is our decision and the situation allows it, we tell you why and what would lift it. While a shop is on hold the assistant stops replying and your payment details are no longer shown to buyers, and your products, chats and orders remain. Serious cases, such as unlawful use or fraud, can mean immediate closure without notice.

You can close your account whenever you like, from your dashboard or by asking us. Before you go, export your data from the dashboard, because after closure it is deleted or made anonymous on the timetable set out in the Data Processing Agreement. Records we are required to keep, such as those tied to money and to tax, are kept for as long as the law requires and then removed.

If you think a hold or a closure was wrong, write to support@kasarm.com and a person will look at it.

15.Personal data

Your buyers' personal data is yours to answer for. Under the Data Protection Act, 2012 (Act 843) you are the data controller of it, because you decide why and how it is used. We are your data processor, which means we act on your instructions and use it only to run your shop.

The full terms of that arrangement, including what we hold, how long we hold it, who else touches it, how we help you answer a buyer's request, and what happens after a breach, are in the Data Processing Agreement. It forms part of this agreement and you accept it by using Kasa.

Data we hold about you, rather than about your buyers, is covered by our Privacy Policy, where we are the controller.

You are responsible for telling your buyers how their data is used. We give you a short notice you can adapt and send, and you are free to use it.

16.What we are responsible for

We give you the service with reasonable skill and care. Beyond what this agreement says, and beyond what Ghanaian law requires of us, we do not make other promises about it. In particular we do not promise that Kasa will earn you a particular amount, that the assistant will word every reply as you would, or that the service will be free of interruption.

We are not responsible for:

  • the goods you sell, the sales you make, or any dispute between you and a buyer,
  • a payment a buyer did or did not make, or a mistake by a mobile money provider,
  • what a channel provider such as Meta does, including limiting or suspending your number,
  • loss caused by details you entered incorrectly, such as a wrong price, a wrong stock figure or a wrong mobile money number, or
  • loss of profit, loss of business, or indirect loss of any kind.

Where we are responsible, our total liability to you for everything that happens in any twelve month period is limited to the amount you paid us for the service in the twelve months before the claim arose.

Nothing in this agreement limits our liability for fraud, for fraudulent misrepresentation, for death or personal injury caused by our negligence, or for anything else that Ghanaian law does not allow us to limit or exclude.

17.What you cover us for

If someone brings a claim against us because of what you sold, what you said to a buyer, content you uploaded, or your use of Kasa in a way that breaks this agreement or the law, you will cover the reasonable costs and damages we face as a result. We will tell you promptly about any such claim and give you a fair chance to deal with it.

18.Changes to these terms

Kasa is a young product and these terms will be revised as it grows. When we make a change that materially affects you, we will tell you by email or in your dashboard at least 30 days before it takes effect, unless the change is required sooner by law or is needed to keep the service secure.

Every version carries a number and a date at the top of this page, and the version you agreed to when you signed up is recorded against your account. Continuing to use Kasa after a change takes effect means you accept the new version. If you would rather not, you can cancel before it takes effect.

19.General

Notices. We contact you at the email address on your account, or in the dashboard. Write to us at support@kasarm.com for anything formal.

Transfer. You may not transfer this agreement to someone else without our written agreement. We may transfer it to a company that takes over our business, and your rights under it stay the same if we do.

If a clause fails. If any part of this agreement turns out to be unenforceable, the rest of it continues to apply.

Delay is not surrender. If we do not enforce something straight away, we keep the right to enforce it later.

The whole agreement. These terms, the Privacy Policy, the Acceptable Use Policy and the Data Processing Agreement are the entire agreement between us about Kasa, and replace anything said beforehand.

Independent businesses. Nothing here makes us partners, or makes either of us the agent or employee of the other.

Events beyond control. Neither of us is liable for a failure caused by something genuinely outside our control, such as a national network failure, a power failure, an act of government or a natural event.

Electronic records. This agreement is concluded electronically and both of us accept electronic records and signatures as valid, as provided for by the Electronic Transactions Act, 2008 (Act 772).

20.Ghanaian law, and settling disagreements

This agreement is governed by the laws of the Republic of Ghana, and the courts of Ghana have jurisdiction over any dispute arising from it.

Before it reaches a court, tell us. Write to support@kasarm.com setting out what happened and what you would like done, and we will respond within 14 days and try to settle it with you directly. If that does not work, either of us may propose mediation under the Alternative Dispute Resolution Act, 2010 (Act 798), which is usually faster and cheaper than court for both sides. Nothing here stops either of us from going to court where that is the right step.
